The Evolution of Business Closings: In-Person Past, Remote Present, and Future
by:
Jeffrey B. Cianciolo, Esq. and
Marcus Howell, Esq.
In an article published in the RI Bar Journal's May/June issue, firm Partner Jeffrey B. Cianciolo and Counsel Marcus I. Howell describe how the in-person closing has become a thing of the past in "The Evolution of Business Closings: In-Person Past, Remote Present, and Future".
Cianciolo and Howell provide a nostalgic look back at the in-person closing that was standard practice for corporate lawyers and their clients. With the advent word processing software, the internet and statutory changes, remote closings have slowly gained acceptance over the past several decades. The authors went on to explain best practices and protocols for conducting remote closings for counsel and their clients.
Cianciolo leads the firm's Business and Corporate Practice and has extensive transactional experience, including representing business owners in the sale of their companies to venture capital, private equity firms and institutional buyers. Howell concentrates his practice in business transactions with a focus on software and other technology-based companies.
